Corporate Governance Charter
Corporate governance is an important instrument in order to constantly improve the management of the property investment fund and to protect the interest of the shareholders.
Intervest Offices & Warehouses employs the Belgian corporate governance code 2009 as its benchmark. The principles of corporate governance pursued by Intervest Offices Warehouses have been formalised by the board of directors in a number of directives.
From the terms of the Belgian corporate governance code 2009 is only derogated when specific circumstances require it. In this case the derogation is explained in accordance with the “comply or explain” principle.

Code of conduct
Our code of conduct is applicable to all employees, as well as to the members of the management and audit committee and to the members of the board of directors. In principle, the code of conduct is also applicable to all temporary employees and peole working for Intervest Offices & Warehouses on a contractual basis.

Whistleblowing rules
Intervest Offices & Warehouses has introduced whistleblowing rules to protect employees who report abuses within the company.

Market abuse
Article 25bis, §2 of the Law of 2 August 2002 stipulates that people with a management responsibility or people closely related to a person with a management responsibility need to report every transaction in shares in Intervest Offices & Warehouses, for their own account, to the FSMA within 5 days. Intervest Offices & Warehouses has drawn up a procedure on the subject (document only exists in Dutch).
These transactions have to be reported by a form drawn up by the FSMA . So far, there have been 61 notifications for Intervest Offices & Warehouses.
