Corporate Governance Charter

Corporate governance is an important instrument to constantly improve the management of the property investment fund and to protect the interest of its shareholders.

Intervest Retail employs the Belgian corporate governance code 2009 as its benchmark. The principles of corporate governance pursued by Intervest Retail have been formalised by the board of directors in a number of directives.
 
From the terms of the Belgian corporate governance code 2009 is only derogated when specific circumstances require it. In this case the derogation is explained in accordance to the “comply or explain” principle.

Code of Conduct

Our code of conduct is applicable to all employees, as well as to the members of the management and audit committee and to the members of the board of directors. In principle, the code of conduct is also applicable to all temporary employees and people working for Intervest Retail on a contractual basis.

Whistleblowing rules

Intervest Retail has introduced whistleblowing rules to protect employees who report abuses within the company.  You can consult these rules here.  Please note that this document only exists in Dutch.

Market Abuse

Article 25bis, §2 of the Law of 2 August 2002 stipulates that people with a leading responsibility or people closely related to a person with a leading responsibility need to report every transaction in shares in Intervest Retail, for their own account, to the FSMA within 5 days. Intervest Retail has drawn up a procedure on the subject (document only exists in Dutch).

So far, there have not been any such notifications.
